Detailed Job Description:
The incumbent will report directly to managing counsel of Terviva, Inc. and work closely and assist the India Business Unit. Terviva India Private Limited (the “Company”)
- Overseeing the legal matters of the Company, including acting as the Company’s legal representative.
- Advising executive members, senior management, and the board on various matters including new laws, existing laws, and legal rights that would impact the functionality of the business.
- Maintaining knowledge of the Company’s legal documents and operations.
- Manage and coordinate the Board of Directors and Shareholder meetings of Terviva India Private Limited. Preparation & finalization of the meeting agendas, minutes of meetings, and resolutions; filling and filing of various forms and returns in compliance with the provisions under the Companies Act; maintenance & preservation of all applicable records and returns.
- Drafting, preparing, and modifying legal documents and contractual instruments, including NDAs, license agreements, lease agreements, and service agreements, to assist and support various business activities/functional departments.
- Reviewing, negotiating, and finalizing third-party contracts and agreements and redlined standard Company templates
- Ensuring compliance with intellectual property rights
- Liaise with external counsels in respect of various ongoing legal matters
- Liaise with regulatory authorities including RBI, Ministry of Corporate Affairs, Legal Metrology Department, Inspectors under the Shops & Establishment Act
- Monitor and ensure compliance with Company policies & all applicable laws
- Advise on various aspects of laws, corporate governance, and Company policies to various functional departments
- Advise on legal risks and legal liabilities associated with various transactions
- Oversee control systems to prevent or deal with violations of legal guidelines and internal policies.
- Researching and anticipating unique legal issues that could impact the company
- Providing training to the company employees on legal topics and risks.
- Prepare monthly and quarterly reports for the legal department for management meetings.

Educational Qualifications– LLB

Post-qualification experience– 5 -12 years post-qualification experience either with an MNC or reputed law firm

Requirements
- Should be comfortable working in a fast-paced environment with broad, generalist responsibilities, but with specialist legal subject skills in commercial law and regulatory matters.
- Extensive knowledge of Indian law.
- Well-versed in Indian corporate governance, secretarial compliance, corporate law, contract law, employment law, and related fields
- Proven experience in contract management
- Preferred experience with contract management software
- Knowledge of the corporate standards and regulations in India
- Capable of researching, consolidating and reporting on various issues
- Excellent knowledge of reporting procedures and record keeping
- A business acumen partnered with a dedication to law and compliance
- Methodical and diligent with outstanding planning abilities
- Characteristics of a forward thinker and self-starter that flourishes with new challenges and adapts quickly to learning new knowledge
- An analytical mind able to “see” the complexities of procedures and regulations
- Excellent communication skills
- Excellent drafting and contract review skills
- Experience drafting corporate policies
- Preferred experience with legal matters and law in Asia and Oceania
